1. Acceptance of Terms

By accessing or using DecideSync (the "Service"), hosted at decidesync.com, you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of an enterprise, organization, or team, you represent that you have the authority to bind that entity to these Terms.

2. Description of the Service

DecideSync is an enterprise decision intelligence software platform that facilitates multi-criteria vendor evaluations, blind stakeholder scoring matrices, real-time consensus radar aggregation, and automated executive decision memorandums.

3. User Accounts & Access

• Account Responsibility: You are responsible for safeguarding your login credentials and for all activities that occur under your account.
• Stakeholder Invitations: Decision leaders may invite team members and stakeholders to participate in review sessions. You are responsible for ensuring that invited reviewers are authorized to access project criteria and submit feedback.
• Accuracy: You agree to provide accurate registration information and keep your account details up to date.

4. Intellectual Property & Ownership

• Your Content: You retain all ownership, title, and intellectual property rights in and to your data, vendor criteria, evaluation scores, comments, and generated decision memos created using DecideSync.
• Platform IP: DecideSync and its licensors retain all proprietary rights, algorithms, software designs, trademarks, and code powering the platform.

5. Subscriptions, Payments & Cancellations

• Billing: Subscription plans (including Per-Project unlock passes and Pro Monthly subscriptions) are billed through our payment processor, Stripe.
• Cancellations: You can cancel recurring subscriptions at any time via your billing settings or Stripe Customer Portal. Cancellation takes effect at the end of the current billing cycle.
• Refunds: We provide refunds in accordance with our billing policy or where required by applicable law.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations.
• Attempt to reverse-engineer, decompile, or extract the source code of the platform.
• Interfere with or compromise the security or integrity of our Cloudflare infrastructure.
• Transmit malicious code, viruses, or automated scrapers without written authorization.

7. Disclaimers & Decision Autonomy

DecideSync provides mathematical aggregation, scoring matrices, and analytical reports based strictly on the criteria and numbers provided by your stakeholders. The generated Executive Decision Memos and confidence scores are analytical aids and do not constitute formal legal, financial, or procurement guarantees. Final commercial and procurement determinations remain the sole responsibility of your executive management.
